Jared is the Chair of Obermayer’s Tax Group. He focuses his practice on tax and corporate structuring attendant to various business transactions, real estate acquisitions and sales (including 1031 transactions), and tax-exempt bond issuances. Jared also routinely advises clients on:

  • Choice of entity questions, the acquisition and disposition of closely-held businesses, real estate joint ventures, and tax-efficient financing
  • Mergers, acquisitions, and reorganizations
  • Non-profit tax issues and the formation and operation of tax-exempt organizations
  • Charitable giving
  • Gift and estate tax planning

As a trusted advisor, Jared provides tax guidance to clients in connection with a variety of commercial transactions, which have included significant IPOs, cross-border sales, and large-scale real estate transactions.

Jared believes in a practical, streamlined, and deal-oriented approach to tax analysis with the goal of helping clients minimize tax exposures.

In his free time, Jared enjoys family time with his wife and son, golfing, and traveling abroad.

Jared has extensive experience identifying value-added opportunities in the M&A and real estate context resulting from tax-efficient structuring and has counseled clients through numerous cross-border carveouts, spinoffs, and outright acquisitions. 

Some of Jared’s notable representative matters include:

  • Structured series of overseas 1031’s in context of significant real estate redevelopment.
  • Audit IRC Sec. 355 spin-off of Dow Chemical Company from DowDupont.
  • Bankruptcy tax structuring of a multi-million-dollar international enterprise.
  • Sale of a multitude of multi-million-dollar privately held corporations.
  • IRC Sec. 382 change in control analysis performed for a multi-billion-dollar private equity company during a proposed bid for ThyssenKrupp Elevators.
  • Structured the IPO and associated UP-C structure for Shift4.
  • Performed multi-year E&P analysis for a Fortune 100 food and beverage enterprise.
  • Performed detailed tax diligence and structuring for numerous private equity fund buy-side deals.
  • Represent significant international religious organization with respect to complex tax issues.
  • Counseled dozens of local governments and governmental units through tax-exempt bond issuances.

 

Service and Engagements:

  • Jared serves on the Tax Policy Council of the Pennsylvania Chamber of Commerce.
  • Jared serves on the Board of Directors of ElderNet, a Lower Merion non-profit that provides aid and services to elderly persons.
  • Jared routinely hosts CLE programs for attorneys on tax-specific topics for Strafford CLE, a Barbri Company.
